These Terms of Service (“Legal Terms”) are a binding agreement between Lumi Education UG (haftungsbeschränkt) (“Company,” “we,” “us,” or “our”) and you, whether personally or on behalf of an entity (“you”), governing your access to and use of:

  • the website https://lumi.education (the “Site”), and

  • any related products and services that refer or link to these Legal Terms (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Legal Terms. If you do not agree, do not use the Services.

We will provide prior notice of any scheduled changes to the Services you are using. Modified Legal Terms become effective upon posting or notification to you (including via c@lumi.education). Your continued use after the effective date constitutes acceptance.

Age requirement. The Services are intended for users 13+. Minors in their jurisdiction must have a parent/guardian’s permission and supervision. Parents/guardians must review and accept these Legal Terms before a minor uses the Services.

We recommend printing a copy of these Legal Terms for your records.

1. Our Services

Access to the Services may be unlawful in certain jurisdictions. If you access the Services from outside such jurisdictions, you do so on your own initiative and are solely responsible for compliance with local laws.

The Services are not tailored for industry-specific regulations (e.g., HIPAA, FISMA). Do not use the Services in ways that would subject us to those laws or to the GLBA.


2. Intellectual Property Rights

Our intellectual property

We (or our licensors) own all intellectual property in the Services, including source code, databases, functionality, software, designs, text, graphics, audio, and video (collectively, the “Content”) and all trademarks, service marks, and logos (the “Marks”). The Content and Marks are protected by applicable laws and treaties. Content is provided “AS IS” for your personal, non-commercial or internal business use only.

Your use of our Services

Subject to these Legal Terms (including Section 8), we grant you a non-exclusive, non-transferable, revocable license to:

  • access the Services; and

  • download or print Content you properly access, solely for your personal, non-commercial use or internal business purpose.

Except as expressly permitted, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit the Services, Content, or Marks without our prior written permission. Requests: c@lumi.education. Any permitted use must include appropriate attributions and proprietary notices.

We reserve all rights not expressly granted. Any breach of this Section is a material breach and will terminate your right to use the Services immediately.

Your submissions and contributions

  • Submissions. If you send questions, comments, ideas, or feedback (“Submissions”), you assign to us all IP rights in those Submissions and agree we may use them for any lawful purpose without acknowledgment or compensation.

  • Contributions. If the Services allow posting or sharing content (“Contributions”), Contributions may be visible to others (including via third-party sites).

By posting Contributions, you grant us an unrestricted, worldwide, perpetual, irrevocable, transferable, royalty-free license (including to your name, marks, and likeness) to use, copy, modify, create derivative works, distribute, publicly display, and perform the Contributions, and to sublicense these rights.

You are responsible for your Submissions/Contributions and warrant you have all necessary rights. We may remove or edit Contributions and may suspend or disable your account in our reasonable discretion.

3. User Representations

You represent and warrant that:

(1) all registration information is true, accurate, current, and complete and will be kept updated;

(2) you have legal capacity and agree to these Legal Terms;

(3) you are 13 years or older;

(4) if a minor, you have parental permission and supervision;

(5) you will not access the Services via automated or non-human means;

(6) you will not use the Services for any unlawful or unauthorized purpose; and

(7) your use complies with all applicable laws.

We may suspend or terminate your account for false, inaccurate, or incomplete information.


4. User Registration

You may need to register to use certain features. Keep your password confidential; you are responsible for all activities under your account. We may reclaim or change any username that is inappropriate.


5. Purchases and Payment

Accepted methods: Visa, Mastercard, PayPal.

Provide current, complete, and accurate purchase and account information and keep it updated (including email, payment method, and card expiry). Prices may change; taxes may be added as required. All payments are in Euros.

You agree to pay all charges at the prices in effect at purchase. For recurring charges, you authorize us to charge your payment method on a recurring basis until you cancel. We may correct pricing errors even if payment has been requested or received.

We may refuse any order or limit/cancel quantities per person, household, account, payment method, or address. We may limit or prohibit orders that appear to be placed by dealers, resellers, or distributors.


6. Cancellation

All purchases are non-refundable. You may cancel a subscription at any time in your account; cancellation takes effect at the end of the current paid term. Questions: c@lumi.education.


7. Software

If software is provided with a EULA, that EULA governs. Otherwise, we grant a non-exclusive, revocable, personal, non-transferable license to use the software solely with the Services and under these Legal Terms. Software and related documentation are provided “AS IS” without warranties. You may not reproduce or redistribute except as permitted.


8. Prohibited Activities

You agree not to, among other things: scrape or systematically retrieve data; deceive or attempt to obtain sensitive information; bypass or interfere with security; misuse support channels; violate laws; frame/link without authorization; upload malware or disruptive material; automate usage (bots, scrapers) beyond standard search/browser use; remove proprietary notices; impersonate others; deploy tracking/collection mechanisms; burden or disrupt the Services; harass staff; reverse engineer; use unauthorized scripts/tools; use buying agents; collect emails/usernames for spam; or use the Services to compete with us or for any revenue-generating endeavor not authorized by us.


9. User Generated Contributions

Where available, you may post Contributions. You represent, warrant, and agree that your Contributions:

  • do not infringe third-party rights;

  • have necessary permissions/releases;

  • are not false, unlawful, harmful, discriminatory, obscene, or otherwise objectionable;

  • do not violate privacy, publicity, or child-protection laws; and

  • do not violate these Legal Terms.

Violations may result in suspension/termination.


10. Contribution License

By posting Contributions, you grant us the unrestricted, worldwide, perpetual, irrevocable, transferable, royalty-free license described in Section 2. You waive moral rights to the extent permitted by law. You retain ownership of your Contributions; we do not claim ownership.

We may edit, re-categorize, pre-screen, or delete Contributions at any time without notice. We have no obligation to monitor Contributions.


11. Third-Party Websites and Content

The Services may link to third-party websites or display third-party content. We do not monitor, endorse, or assume responsibility for such sites or content, including their policies or practices. Your dealings with third parties are solely between you and them. You access third-party sites at your own risk.


12. Services Management

We may: (1) monitor the Services for violations; (2) take legal action for violations; (3) refuse, restrict, or disable Contributions; (4) remove or disable files/content that are excessive or burdensome; and (5) otherwise manage the Services to protect our rights and ensure proper functioning.

By using the Services, you agree to the Privacy Policy (incorporated herein). The Services are hosted in Germany. By continuing to use the Services from other regions with different data laws, you consent to the transfer and processing of your data in Germany.

We do not knowingly collect data from children under 13. If we learn we have collected such data without verifiable parental consent, we will delete it as reasonably practicable.


14. Copyright Infringements

We respect IP rights. If you believe material on or through the Services infringes your copyright, notify us (a “Notification”). A copy may be sent to the alleged poster. You may be liable for damages if you materially misrepresent infringement.


15. Term and Termination

These Legal Terms remain in effect while you use the Services. We may, in our sole discretion and without notice, deny access to the Services (including by blocking IPs), terminate or suspend your account, and delete content for any reason, including breach of these Legal Terms or law. If terminated/suspended, you may not register a new account under any name or on behalf of any third party. We may pursue all available remedies.


16. Modifications and Interruptions

We may change, modify, or remove content at any time without notice and have no obligation to update information. We are not liable for modifications, price changes, suspensions, or discontinuations.

Availability is not guaranteed. Outages, maintenance, or issues may occur. We have no liability for downtime or discontinuance and no obligation to provide corrections, updates, or releases.


17. Governing Law

These Legal Terms are governed by the laws of Germany, excluding the U.N. CISG.

If your habitual residence is in the EU and you are a consumer, you retain the protection of mandatory laws of your country of residence. Both parties submit to the non-exclusive jurisdiction of the courts of Niedersachsen, Germany, without prejudice to your right to bring actions in your EU country of residence.


18. Dispute Resolution

The European Commission provides an online dispute resolution platform. Contact us if you wish to raise a dispute.


19. Corrections

Information on the Services may contain errors or omissions (e.g., descriptions, pricing, availability). We may correct or update information at any time without prior notice.


20. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF CONTENT OR THIRD-PARTY CONTENT/LINKS AND ARE NOT RESPONSIBLE FOR: (1) ERRORS; (2) PERSONAL INJURY/PROPERTY DAMAGE; (3) UNAUTHORIZED ACCESS OR USE OF SERVERS/DATA; (4) TRANSMISSION INTERRUPTIONS; (5) MALICIOUS CODE; OR (6) LOSSES/DAMAGES FROM CONTENT USE. EXERCISE APPROPRIATE CAUTION.


21. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS/REVENUE/DATA) ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM, REGARDLESS OF FORM, IS LIMITED TO THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME LAWS DO NOT ALLOW LIMITATIONS/EXCLUSIONS; SOME OR ALL OF THE ABOVE MAY NOT APPLY TO YOU.


22. Indemnification

You agree to defend, indemnify, and hold us (and our affiliates and their officers, agents, partners, and employees) harmless from any losses, damages, liabilities, claims, or demands (including reasonable attorneys’ fees) arising from: (1) your Contributions; (2) your use of the Services; (3) your breach of these Legal Terms; (4) your breach of your representations/warranties; (5) your violation of third-party rights; or (6) any harmful act toward another user connected via the Services. We may assume exclusive defense and control; you will cooperate at your expense.


23. User Data

We may maintain data you transmit to manage the Services. Although we perform routine backups, you are responsible for your data. We are not liable for any loss or corruption of data, and you waive any claims arising from such loss or corruption.


24. Electronic Communications, Transactions, and Signatures

By visiting the Services, emailing us, or completing online forms, you communicate electronically and consent to receive electronic communications. You agree electronic signatures, contracts, orders, and records, and electronic delivery of notices satisfy legal requirements for written communications. You waive any rights requiring non-electronic records or original signatures.

26. Miscellaneous

These Legal Terms and any policies posted on the Services constitute the entire agreement between you and us. Our failure to enforce any provision is not a waiver. We may assign our rights/obligations. We are not liable for delays or failures beyond our reasonable control. If any provision is unlawful, void, or unenforceable, it is severed and the remainder remains in effect. No joint venture, partnership, employment, or agency relationship is created. These Legal Terms will not be construed against us as drafter. You waive any defenses based on the electronic form or lack of signatures.
